1. About Retrofit Design Pro

Retrofit Design Pro is an AI-assisted software platform developed to support Retrofit Coordinators, Retrofit Designers and other built environment professionals in producing retrofit design documentation and related outputs.

The Platform may include functionality such as:

• RdSAP data import and processing;
• Retrofit design generation;
• Floor plan annotation;
• Measure specification generation;
• Compliance support tools;
• PAS 2035 workflow assistance;
• Design pack creation;
• PDF and document exports;
• AI-generated recommendations and content.

The Platform is intended to assist qualified professionals and does not replace professional judgement, competence, accreditation requirements or statutory responsibilities.

2. Acceptance of Terms

By using the Platform, you confirm that:

• You are at least 18 years of age.
• You have authority to enter into these Terms on behalf of yourself or your organisation.
• You will use the Platform in accordance with applicable laws, regulations and industry standards.
• You accept full responsibility for your use of the Platform and any outputs generated.

3. Definitions

Accredited Professional

A person holding the qualifications, competence, accreditation, insurance and professional authority required to undertake retrofit design, retrofit coordination or associated activities under PAS 2035, PAS 2030, TrustMark requirements, Building Regulations or any other applicable standards.

Output

Any report, recommendation, design, specification, calculation, drawing, annotation, assessment, document, export, PDF or other content generated by the Platform.

User

Any person, company, organisation or entity using the Platform.

Services

The Platform and all associated software, features, tools and services provided by The Green Umbrella Collective Ltd.

4. Professional Use Only

Retrofit Design Pro is intended solely for business and professional use. The Platform must not be used by individuals who lack appropriate knowledge, competency or professional understanding of retrofit design practices and applicable regulations.

5. AI-Assisted Platform Disclaimer

The User acknowledges that Retrofit Design Pro uses artificial intelligence and automated processing technologies to assist with the creation of retrofit documentation and recommendations. While reasonable efforts are made to improve the quality of generated outputs, the Company makes no guarantee that any output will be:

• Accurate;
• Complete;
• Error-free;
• Suitable for a particular project;
• Fully compliant with PAS 2035;
• Fully compliant with PAS 2030;
• Fully compliant with Building Regulations;
• Suitable for funding applications;
• Suitable for TrustMark submissions;
• Suitable for installation purposes.

Artificial intelligence systems can generate inaccurate, incomplete or misleading information. Users acknowledge that all outputs require independent verification before use.

6. User Responsibilities

The User is solely responsible for:

• Verifying all imported data;
• Verifying all user-entered information;
• Checking all calculations;
• Reviewing all recommendations;
• Assessing site-specific conditions;
• Assessing technical suitability of measures;
• Determining regulatory compliance;
• Determining PAS 2035 compliance;
• Determining Building Regulation compliance;
• Obtaining necessary approvals and certifications;
• Ensuring all outputs are reviewed by an appropriately qualified person.

The User accepts that the Company cannot verify the accuracy of information supplied to the Platform.

7. Mandatory Professional Review and Sign-OffImportant

The Platform is a design support tool only. All outputs generated by Retrofit Design Pro must be independently reviewed, checked, validated and approved by a suitably qualified, competent and accredited professional before:

• Being provided to clients;
• Being submitted to TrustMark;
• Being submitted to funding providers;
• Being submitted to local authorities;
• Being used for specifications;
• Being relied upon for procurement;
• Being relied upon for installation;
• Being relied upon for certification;
• Being relied upon for compliance purposes.

Under no circumstances should any output generated by the Platform be treated as professional certification, professional sign-off or evidence of compliance without independent review. Responsibility for all final designs remains with the accredited professional approving the works.

8. No Professional Advice

The Platform does not provide:

• Architectural advice;
• Engineering advice;
• Structural advice;
• Building control advice;
• Legal advice;
• Financial advice;
• Insurance advice;
• Professional certification;
• Regulatory approval.

The Platform provides information and drafting assistance only. All professional decisions remain the responsibility of the User and their appointed professionals.

9. Data Accuracy Disclaimer

The quality and accuracy of outputs depend upon the information provided to the Platform. The Company is not responsible for inaccuracies arising from:

• Incorrect RdSAP data;
• Incorrect EPC information;
• Surveying errors;
• Measurement errors;
• User input errors;
• Third-party data providers;
• Imported documents;
• Incomplete property information;
• AI-generated recommendations;
• Software limitations.

The User remains solely responsible for ensuring the accuracy of all project information.

10. PAS 2035 and Compliance Disclaimer

Although the Platform has been designed to support PAS 2035 workflows, use of the Platform does not guarantee compliance with:

• PAS 2035;
• PAS 2030;
• TrustMark requirements;
• Building Regulations;
• Planning requirements;
• Heritage requirements;
• Funding scheme requirements;
• Any applicable legislation.

The Company does not warrant that outputs generated by the Platform will satisfy audit or compliance requirements. The User remains solely responsible for demonstrating compliance.

11. Limitation of Liability

To the fullest extent permitted by law, The Green Umbrella Collective Ltd shall not be liable for any:

• Loss of profit;
• Loss of revenue;
• Loss of opportunity;
• Loss of contracts;
• Loss of data;
• Business interruption;
• Regulatory penalties;
• Funding rejections;
• TrustMark audit failures;
• Design defects;
• Installation defects;
• Specification errors;
• Compliance failures;
• Professional negligence claims;
• Indirect losses;
• Consequential losses.

The Company shall not be liable for any loss arising from:

• Reliance on generated outputs;
• Failure to review outputs;
• Use of outputs without professional sign-off;
• Reliance on AI-generated recommendations;
• Incorrect imported data;
• User errors;
• Third-party data sources.

12. Liability Cap

To the maximum extent permitted by law, the total liability of The Green Umbrella Collective Ltd arising from any claim relating to the Services shall not exceed the total subscription fees paid by the User during the twelve (12) months immediately preceding the event giving rise to the claim.

13. User Indemnity

The User agrees to indemnify, defend and hold harmless The Green Umbrella Collective Ltd, its directors, employees, contractors and affiliates against any claims, costs, losses, damages, liabilities or expenses arising from:

• Use of the Platform;
• Reliance upon generated outputs;
• Professional advice provided by the User;
• Failure to carry out adequate review procedures;
• Failure to obtain professional sign-off;
• Client claims;
• Regulatory action;
• Breach of these Terms.

14. Third-Party Services

The Platform may incorporate or rely upon third-party services and data providers. The Company makes no warranties regarding:

• Availability;
• Accuracy;
• Reliability;
• Security;
• Continuity of service.

The Company accepts no liability for interruptions, inaccuracies or failures caused by third-party providers.

15. Intellectual Property

All intellectual property rights in the Platform remain the exclusive property of The Green Umbrella Collective Ltd. Nothing in these Terms transfers ownership of:

• Software;
• Source code;
• Databases;
• Trademarks;
• Logos;
• Brand assets;
• Documentation;
• Content.

Users receive a limited, non-exclusive, non-transferable licence to use the Platform during an active subscription period.

16. Acceptable Use

Users must not:

• Reverse engineer the Platform;
• Attempt unauthorised access;
• Circumvent security measures;
• Upload malicious code;
• Use the Platform unlawfully;
• Share login credentials;
• Resell access without permission;
• Interfere with platform operation.

The Company may suspend accounts that breach these Terms.

17. Account Security

Users are responsible for:

• Maintaining password security;
• Restricting account access;
• Protecting login credentials;
• Reporting unauthorised access.

Any activity conducted through a User's account shall be deemed to have been carried out by that User.

18. Data Protection

The Company will process personal data in accordance with:

• UK GDPR;
• Data Protection Act 2018;
• The Company's Privacy Policy.

Users must ensure that any personal information uploaded to the Platform has been lawfully obtained and processed.

19. Availability and Maintenance

The Platform is provided on an "as available" basis. The Company does not guarantee uninterrupted access and may suspend access for:

• Maintenance;
• Updates;
• Security incidents;
• Infrastructure failures;
• Service improvements.

No service level guarantee applies unless expressly agreed in writing.

20. Suspension and Termination

The Company may suspend or terminate access immediately where:

• These Terms are breached;
• Payment remains outstanding;
• Misuse is suspected;
• Illegal activity is suspected;
• Security concerns arise.

Termination does not remove any liabilities accrued before termination.

21. Changes to These Terms

The Company reserves the right to amend these Terms at any time. Updated Terms will become effective upon publication within the Platform or on the Company's website. Continued use of the Platform constitutes acceptance of any revised Terms.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
